To the fullest extent permitted by Luxembourg law, LunarShifting shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or other intangible losses, resulting from your use of our services. Our total liability to you for any claim arising from or related to these Terms or our services shall not exceed the amount of fees paid by you to LunarShifting in the twelve months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless LunarShifting, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to legal fees) arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Luxembourg. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the Luxembourg courts. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

Our services are subject to oversight by the Commission de Surveillance du Secteur Financier (CSSF) and other relevant regulatory authorities.

Termination

Either party may terminate the service relationship at any time with appropriate notice as specified in your service agreement. Upon termination, you remain responsible for any outstanding fees and obligations incurred prior to termination. LunarShifting will assist with the orderly transfer of your assets and records in accordance with applicable regulations and professional standards. We reserve the right to terminate services immediately if you breach these Terms or engage in prohibited activities.

Modification of Terms

LunarShifting reserves the right to modify these Terms of Service at any time. We will provide notice of material changes through our website or direct communication to clients. Your continued use of our services after any modifications indicates your acceptance of the updated Terms. If you do not agree to the modified Terms, you should discontinue use of our services.

Force Majeure

LunarShifting shall not be liable for any failure or delay in performance under these Terms which is due to fire, flood, earthquake, elements of nature or acts of God, wars, terrorism, riots, civil disorders, rebellions or revolutions, or any other cause beyond our reasonable control. In such events, we will make reasonable efforts to resume normal service as quickly as possible.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and LunarShifting regarding the use of our services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
